3. Indemnification. Grantees shall indemnify, defend and hold the Grantors harmless from <br /> any and all costs, liabilities, damages, losses, claims, actions or proceedings whatsoever, <br /> including, without limitation, for injury to property or persons (including death) which <br /> may be claimed by Grantees, their guests, invitees, agents, or contractors to have arisen <br /> out of(i) any damage, accident, injury or other similar occurrences on Grantors' Road, <br /> including those alleged to be due to Grantee's negligence or misconduct; or (ii) the use, <br /> maintenance or repair of Grantors' Road. <br /> 4. Modifications, Maintenance and Repair. <br /> a. Grantees shall be responsible for winter maintenance, including snow plowing, of <br /> the portion of Grantors' Road that they use. Grantees agree that Grantors have no <br /> legal obligation to guarantee access, ingress, or egress due to snow or other Acts <br /> of God. <br /> b. Except as provided in 4.a. above, Grantees shall make no modifications, repairs, <br /> or maintenance to Grantors' Road without the prior express consent of Grantors. <br /> C. Grantees shall be financially responsible for repair and maintenance of Grantors' <br /> Road due to damage caused by Grantees' misuse or failure to exercise reasonable <br /> care while using Grantors' Road. <br /> d. Grantees and Grantors shall share equally in the financial responsibility for repair <br /> and maintenance of that portion of Grantors' Road in which they share access to <br /> their respective properties. <br /> 5. Full Authority. The Grantors executing this instrument represent that they have good and <br /> full authority to grant the easement rights set out herein. <br /> i <br /> 6. Choice of Law.
